The experience of Milano Notai in Energy began in 2005, when we followed the acquisition and financing of the largest Italian wind farm with a capacity of over 550 MW. Since then we have continuously assisted project companies and dedicated funds, both in the acquisition of vehicle companies and in the acquisition of ownership of plants. In January 2018 we were involved in the first ever investment in Europe without any form of government subsidies or incentives in large- scale photovoltaic systems operating in grid parity.

We have long followed the Italian and European legal evolution of Non Profit. As consultants for the Code of the Third Sector and for the Italian Social Foundation, we worked on the Dopo di noi law and set up a Dopo di noi Workshop which acts as an information hub for families with disabled people and of which Monica De Paoli is Deputy Chairman of the Steering Committee. Monica De Paoli is a board member of Assobenefit which we incorporated.

We, ourselves, incorporated Fondazione Italia per il dono Onlus, the first organization in Italy of philanthropic intermediation that uses its assets as a tool to allow people to create their own socially driven projects, and we assisted RIBES, the network of social health workers.

We offer our services to individuals or companies that promote social innovation and social impact projects by advising them on the most appropriate legal form for their projects and applying legal and financial development tools: transformations, mergers, demergers, groupings between companies, social bonds and social impact bonds.

The number of private equity transactions in which Milano Notai has been involved with in recent years has grown a lot, allowing us to use leveraged buy-out facilities with skill and to structure re-investment transactions of the sellers and the co-investment of managers. In every operation, thanks to the constant collaboration with law firms and tax experts, we never lose sight of the delicate fiscal aspects.

In addition to private equity, the non-bank financing sector has seen us as leading players. Our SME clients increasingly ask us to assist them in bond and mini-bond transactions and recently we have been involved in some of the principal project bond issues. This activity leads us to work closely with the issuing companies and with mainly foreign institutional investors.

We believe that resorting to do-it-yourself is very dangerous, because often this choice underestimates the subsequent steps necessary for the growth needs of new companies. Our advice accompanies the founders in every delicate phase of the life of the company: from its incorporation, where statutes are tailor-made to manage the balance of power between the members and between the shareholders and the investors, to the rounds of capital increase, to the incentive plans developed according to the requests of each company.

Milano Notai has a great experience in real estate, both in private purchases, for which we are often the only legal consultant, and in real estate finance transactions, since we started working on the establishment of the listed real estate fund Atlantic 1 in 2006.

We collaborate with Italian and foreign Asset Management Companies, by assisting numerous funds in the acquisition and disposal of properties, the replacement of Asset Management Companies and legal and technical due diligence. Our work is carried out in collaboration with law firms, companies and highly experienced professionals. We deal with all aspects of transactions and related financing, refinancing, constitution and replacement of guarantees. In addition, we deal with social housing projects and projects for enhancement and regeneration of cultural properties belonging to local authorities, third sector organizations or religious institutions.

We assist our clients to plan their succession. Prudent planning generates a multitude of advantages: optimizing the due amount of inheritance tax, reducing the incidence of possible litigation between future heirs and specifically allocating the assets, for example by assigning the family business to the children who already work for the company. There are different tools and we recommend the ones that best suit the client’s needs.

Milano Notai has extensive experience in the succession planning of European citizens, also thanks to the mutual collaboration we have with international law firms. In addition, we accompany families with disabled people to identify the most suitable tools to ensure their safety and stability during our lives and when we are gone.

We guarantee swift and highly reliable escrow agent services to Italian and foreign clients in the delicate phases of negotiation and preliminary agreements. Milano Notai takes on the role of escrow agent either using bank partners nominated by the client or by referring to own trustworthy partner banks. The service includes the preparation of mandate agreements, the opening and management of escrow current accounts which are separate and dedicated to the individual transaction, and in the execution of the instructions for handling the sums of money.

Our role as an escrow agent also consists in acting as collateral, in our role as representatives for the sale of properties or equity packages and as depositaries, on behalf of the financing banks of the shares pledged. In securitization transactions, we keep records of transferred credits in trust deposit for the benefit of public consultation.
